Vencru Terms of Service

Effective Date: November 9, 2026

Last Updated: October 7, 2026

These Terms take effect on November 9, 2026. Before that date, the Terms of Service previously published on this page apply; a copy is also available on request at legal@vencru.com.

These Terms of Service ("Terms") form a legal agreement between Vencru Inc. ("Vencru," "we," "us," or "our") and the person, business, or organization that accesses or uses the Vencru Services ("Customer," "you," or "your").

These Terms govern your access to and use of Vencru's websites, web and mobile applications, point-of-sale applications, APIs, integrations, free tools, inventory, sales, accounting, reporting, and related products and services that link to these Terms. Together, these are the "Services."

If you use the Services for a company, partnership, organization, or other entity, you confirm that you have authority to accept these Terms on its behalf. In that case, "Customer," "you," and "your" refer to that entity.

By creating an account, starting a trial, purchasing a subscription, or using the Services, you agree to these Terms.

If you do not agree to these Terms, you must not use the Services.

1. The Vencru Services

Vencru provides software designed to help businesses manage activities such as inventory; warehouses and locations; sales; invoicing; point-of-sale transactions; quotes and estimates; customers and vendors; purchases and purchase orders; vendor bills; expenses; credit notes; refunds; payment records; e-commerce transactions; financial accounts; reconciliation; bookkeeping; accounting records; tax tracking; financial and operational reports; multiple businesses; currencies; users; and other business-management activities.

Available functionality depends on the Customer's plan, location, device, platform, integrations, and other factors.

Product pages, documentation, and the subscription flow may describe the functionality available with a particular plan.

The Services are primarily designed for business and professional use.

2. Eligibility and authority

You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering into a binding contract.

The Services are not intended for children.

If you create or use an account for a business or organization, you represent that:

  1. you have authority to act for that organization;

  2. the information you provide is accurate; and

  3. the organization accepts these Terms.

Vencru may request information reasonably needed to confirm identity, account ownership, business information, or authority to act for a Customer.

3. Customer accounts

3.1 Account owner

A Vencru account may have an owner, administrator, or other person with administrative authority.

Depending on available functionality, administrators may be able to manage subscriptions; add or remove users; assign permissions; connect integrations; access Customer Data; modify business settings; manage financial settings; and take other administrative actions.

The Customer is responsible for deciding who receives administrative access.

3.2 Authorized Users

An "Authorized User" is a person the Customer authorizes to use its account.

Authorized Users may include employees, owners, accountants, bookkeepers, consultants, contractors, and other representatives.

Each Authorized User should use their own login credentials.

Users must not share passwords or login credentials.

The Customer is responsible for:

  • managing Authorized Users;

  • assigning appropriate permissions;

  • removing access when it is no longer needed; and

  • activities performed by its Authorized Users, except to the extent directly caused by Vencru's breach of these Terms.

3.3 Account security

You must use reasonable measures to secure your account.

You must promptly notify Vencru if you know or reasonably suspect that credentials have been compromised, that an unauthorized person accessed the account, or that Customer Data may have been accessed without authorization.

Vencru may require password resets, multi-factor authentication, identity verification, or other reasonable security measures.

3.4 Account information

You must provide accurate information and keep material account information reasonably current.

You must not impersonate another person or organization; knowingly provide false information; create an account to evade a suspension or restriction; or misrepresent your authority over a business.

4. Account ownership disputes

If there is a dispute over ownership or control of an account, Vencru may temporarily restrict administrative actions while reviewing the dispute.

Vencru may request reasonable evidence, including corporate records; business registration documents; proof of employment; proof of ownership; billing records; government-issued identification; email-domain information; or other information showing authority over the account.

Vencru may determine which person will control the Vencru account based on the information reasonably available to Vencru.

Vencru's determination concerns access to the Vencru account only. It does not determine legal ownership of a business, assets, money, intellectual property, or other rights between disputing parties.

Vencru may decline to decide a complex ownership dispute and may require the parties to resolve it through agreement, legal process, or another appropriate method before account control is changed.

5. Plans and subscriptions

Vencru may offer free plans; trials; paid subscriptions; promotional subscriptions; enterprise plans; and other service offerings.

Plan features, usage limits, billing periods, subscription prices, and trial terms will be shown through the applicable ordering, signup, pricing, or subscription process.

Vencru may impose reasonable limits on features including users; businesses; transactions; products; warehouses; locations; storage; integrations; API use; reports; and other functionality.

You may need to upgrade your plan to exceed a limit or access additional functionality.

6. Trials

Vencru may offer free or paid trials.

The duration, functionality, eligibility rules, and payment requirements for a trial will be disclosed when the trial is offered.

Unless Vencru clearly states otherwise before the trial begins:

  • starting a trial does not authorize Vencru to charge for a paid subscription; and

  • you will not be charged after the trial unless you separately select or authorize a paid subscription.

When a trial ends, Vencru may restrict trial-only functionality; convert the account to an available free plan; require selection of a paid plan; or otherwise apply the conditions disclosed when the trial began.

Vencru may restrict multiple trials by the same Customer, business, payment method, device, or related account where reasonably necessary to prevent abuse.

7. Free Services

Vencru may provide some Services without charge.

Free Services may have different limits, features, storage, support, retention periods, and functionality than paid Services.

Vencru may modify or discontinue a free Service.

Where reasonably practicable, Vencru will provide notice before deleting Customer Data solely because a free account has remained inactive for an extended period.

Customers using free Services should maintain copies of business records they need to retain.

Service commitments that apply specifically to paid subscriptions do not apply to free Services unless Vencru expressly states otherwise.

8. Fees and payment

8.1 Fees

You agree to pay the fees shown when you purchase a paid Service.

Fees may vary based on factors such as plan; billing period; country; currency; number of users; usage; additional functionality; promotional pricing; or an agreed order form.

8.2 Authorization

By providing a payment method and purchasing a recurring subscription, you authorize Vencru or its payment provider to charge the applicable fees and taxes according to the disclosed billing schedule.

8.3 Failed payments

If a payment fails, Vencru may retry the payment; request another payment method; restrict paid functionality; suspend the account; or terminate the affected subscription.

The Customer remains responsible for valid unpaid charges.

8.4 Taxes

Prices may exclude applicable VAT, GST, HST, sales tax, or similar transaction taxes unless stated otherwise.

Vencru may collect taxes where required.

The Customer is responsible for taxes imposed on its purchase or use of the Services, other than taxes based on Vencru's net income.

8.5 Currency and bank charges

You will normally be charged in the currency displayed during purchase.

Banks, card issuers, marketplaces, and other payment providers may impose foreign exchange charges, international transaction charges, card fees, or other charges.

Vencru does not control those charges.

9. Automatic renewal

If you purchase an automatically renewing subscription, the subscription will renew according to the billing period disclosed when you purchase it unless you cancel it.

Before purchase, Vencru will disclose the material subscription terms required by applicable law, including where applicable price; billing frequency; renewal terms; and cancellation method.

Where applicable law requires express consent to automatic renewal, Vencru will obtain that consent.

Vencru may send renewal reminders where required by law or otherwise determined appropriate.

10. Cancellation

You may cancel automatic renewal before the next renewal takes effect.

Where available, cancellation should be completed through your Vencru account or the platform through which you purchased the subscription.

Cancellation normally takes effect at the end of the current paid subscription period.

Unless otherwise required by law:

  • cancellation does not end the current prepaid subscription immediately;

  • you may continue using available paid functionality until the end of the paid period; and

  • unused time is not refunded merely because you cancel before the period ends.

Deleting an application from a device does not cancel a subscription.

Where applicable law requires another cancellation method or right, Vencru will comply with that requirement.

11. Marketplace subscriptions

A subscription purchased through a third-party marketplace or platform may be billed and administered by that provider. This may include an app marketplace, e-commerce platform, or similar service.

Where a third party controls billing: its payment rules may apply; its renewal rules may apply; cancellation may need to occur through that provider; it may determine refund eligibility; and Vencru may not control the billing date, payment method, or refund process.

A subscription purchased inside the Vencru mobile application is billed by Apple or by Google, and Schedule A applies to it in addition to these Terms.

These Terms continue to govern use of the Vencru Services except where applicable marketplace terms control billing or another matter.

12. Refunds

Except where required by applicable law or expressly stated in these Terms, fees are non-refundable.

For a quarterly or annual subscription purchased from Vencru, if the Customer cancels within 7 days of its initial order, Vencru will refund that order. A monthly subscription is not refundable. A refund for a subscription billed by Apple or Google is determined by that store under Schedule A.

Cancellation does not entitle the Customer to a refund, credit, or reimbursement for unused time during the current billing period.

If Vencru terminates a prepaid paid subscription for convenience before the end of its paid term, and not because of Customer breach; non-payment; unlawful activity; abuse; fraud; security concerns; or another reason permitted by these Terms, Vencru will refund the unused prepaid subscription fees attributable to the terminated period.

Any other refund or credit provided by Vencru is discretionary unless applicable law requires otherwise.

Nothing in this section limits a mandatory refund, consumer guarantee, or other remedy that cannot legally be excluded.

13. Price changes

Vencru may change its prices.

A price change will not normally increase fees already paid for the current prepaid billing period.

For an existing recurring paid subscription, a material price increase will normally take effect no earlier than the next renewal following reasonable advance notice.

If you do not wish to pay the new price, you may cancel before the affected renewal.

Vencru may make changes needed to reflect changes in taxes, government charges, payment-provider charges, currency requirements, or similar charges as permitted by applicable law.

14. Changes to the Services

Vencru continually develops the Services.

Vencru may add functionality; remove functionality; replace functionality; change workflows; redesign features; change technical requirements; change usage limits; discontinue outdated features; modify integrations; or otherwise change the Services.

Changes may be made for reasons including product development; customer demand; feature usage; security; fraud prevention; legal requirements; regulatory requirements; technical limitations; infrastructure changes; third-party changes; or improvements to the Services.

Where reasonably practicable, Vencru will provide advance notice before permanently discontinuing material paid functionality on which Customers would reasonably be expected to rely.

If Vencru permanently removes material paid functionality during a prepaid subscription period and that removal substantially reduces the Customer's ability to use the affected paid Service for its primary documented purpose, Vencru may, at its option:

  1. provide replacement or materially equivalent functionality; or

  2. allow the Customer to terminate the affected Service and receive a pro-rata refund of unused prepaid fees attributable to that Service.

This remedy does not apply to free Services; beta features; previews; experimental features; third-party integrations outside Vencru's reasonable control; functionality removed because of law or regulation; security-related changes; abuse-prevention changes; or functionality that has become impossible or commercially unreasonable to provide because of third-party changes outside Vencru's reasonable control.

Subject to rights that cannot legally be excluded, this section states the Customer's contractual remedy for a material discontinuation of functionality.

15. Customer Data

15.1 Definition

"Customer Data" means data, transactions, records, documents, text, images, files, and other information submitted to or created through the Services by or for the Customer or its Authorized Users.

15.2 Ownership

As between Vencru and the Customer, the Customer retains its rights in Customer Data.

Vencru does not acquire ownership of Customer Data merely because it is stored or processed through the Services.

15.3 Licence to process Customer Data

The Customer grants Vencru a non-exclusive, worldwide right to host, copy, transmit, organize, transform, display, process, back up, and otherwise use Customer Data as reasonably necessary to provide the Services; carry out Customer instructions; provide support; maintain the Services; secure the Services; detect fraud and abuse; troubleshoot problems; comply with law; and otherwise operate the Services as described in these Terms and applicable privacy documentation.

This right continues only for as long as reasonably necessary for these purposes or lawful retention requirements.

15.4 Customer responsibility

The Customer is responsible for Customer Data it provides; the accuracy and completeness of Customer Data; obtaining required permissions; providing legally required notices; having a lawful basis to process personal data where required; controlling its Authorized Users; and determining whether the Services are suitable for the Customer's intended use.

16. Aggregated and de-identified information

Vencru may generate aggregated, statistical, or de-identified information from use of the Services.

Vencru may use this information for purposes such as analytics; benchmarking; product development; forecasting; service improvement; security; fraud prevention; research; and understanding usage trends.

Vencru will not use information represented as aggregated or de-identified to publicly identify a Customer or individual.

17. Privacy and data processing

Vencru processes personal information as described in its Privacy Policy and applicable law.

Depending on the processing activity, Vencru may act as:

  • a controller or equivalent entity for information processed for Vencru's own purposes; or

  • a processor, service provider, or equivalent entity for personal information processed on behalf of a Customer.

Where applicable, Vencru's Data Processing Addendum ("DPA") applies to processing performed by Vencru on behalf of the Customer.

If the DPA conflicts with these Terms regarding the processing or protection of personal data, the DPA controls for that issue.

Vencru may engage subprocessors in accordance with the DPA or applicable data-protection requirements.

Vencru's Privacy Policy describes Vencru's privacy practices. Except where expressly incorporated into an applicable DPA or required by law, the Privacy Policy does not create contractual rights beyond these Terms.

Questions about Vencru's handling of personal information, and requests relating to personal data, may be sent to privacy@vencru.com.

18. Security

Vencru will maintain reasonable administrative, organizational, and technical safeguards designed to protect Customer Data.

No internet-based system can guarantee absolute security.

Customers are responsible for reasonable security measures within their control, including protecting credentials; using strong authentication; using multi-factor authentication where available and appropriate; managing Authorized Users; securing devices; maintaining secure email accounts; promptly removing former users; and reporting suspected unauthorized access.

The Customer must not attempt to bypass, disable, probe, or interfere with Vencru's security controls except through a security-testing program expressly authorized by Vencru.

19. Restricted data

Unless Vencru expressly agrees otherwise in writing, the Services are not intended to act as the primary system for storing patient medical records; protected health information subject to HIPAA or similar health-information laws; full payment-card numbers; card security codes; passwords for third-party services; biometric templates; classified government information; or other specially regulated data that Vencru identifies as unsupported.

Businesses in healthcare, pharmacy, or similar industries may use Vencru for supported business activities such as inventory, sales, purchasing, expenses, invoicing, and accounting.

That does not make Vencru a medical-record or patient-management system.

20. Data export and retention

20.1 Customer copies

Customers should maintain copies of business records that they are legally or operationally required to retain.

A Vencru account should not be treated as the Customer's only archive of legally required records.

20.2 Export

While an account is active, Customers may use export functionality made available by Vencru for the applicable plan, feature, record type, and platform.

Vencru does not guarantee that every data field or internal system record will be exportable.

20.3 After termination

Customers should export required Customer Data before terminating an account.

Following termination, Vencru may retain Customer Data for a limited period in accordance with its retention practices; backup cycles; security requirements; and applicable law.

Where technically available and legally permitted, Vencru may allow a Customer to retrieve retained Customer Data after termination.

Unless required by applicable law or separately agreed in writing, Vencru does not guarantee that Customer Data will remain available after termination.

20.4 Immediate restrictions

Vencru may immediately restrict post-termination access where termination or suspension relates to fraud; unlawful activity; security threats; sanctions; abuse; unauthorized access; legal requirements; or material misuse of the Services.

20.5 Backups

Residual copies of Customer Data may remain in backups for a limited period.

Backups are designed primarily for system recovery and business continuity.

Vencru is not required to restore individual records from backups unless Vencru expressly agrees otherwise.

20.6 Required retention

Vencru may retain information where reasonably necessary for legal compliance; tax and accounting obligations; security; fraud prevention; payment records; disputes; investigations; or enforcement of these Terms.

21. Accounting and financial functions

Vencru provides software that can help record, calculate, organize, classify, summarize, and report business and financial information.

Depending on the Services used, Vencru may calculate, record, or display information relating to revenue; expenses; receivables; payables; inventory quantities; inventory values; cost of goods sold; customer balances; vendor balances; taxes; currencies; exchange rates; cash and bank accounts; journal entries; ledgers; reconciliation; profit and loss; balance sheets; cash flow; financial ratios; and other financial or operational information.

22. Software, not professional advice

Unless expressly agreed under a separate written professional-services agreement, Vencru provides software and related technology services.

Vencru does not act as the Customer's accountant; auditor; bookkeeper; lawyer; tax adviser; financial adviser; investment adviser; or fiduciary.

Use of the Services does not create an accountant-client, auditor-client, lawyer-client, tax-adviser, or other professional advisory relationship.

Information, calculations, reports, suggestions, and automated outputs provided through the Services do not constitute professional advice merely because they are based on Customer Data.

23. Customer financial responsibilities

The accuracy and usefulness of financial outputs depend on Customer Data, Customer settings, third-party data, and choices made by the Customer.

The Customer remains responsible for matters within its control, including transaction amounts; transaction dates; opening balances; inventory quantities; inventory costs; stock adjustments; account mappings; chart of accounts; tax settings; tax rates; exemptions; fiscal periods; currencies; exchange rates where selected by the Customer; transaction classifications; reconciliations; journal entries; credit notes; refunds; payment records; and other business settings.

Incorrect, delayed, incomplete, duplicated, or inconsistent information may produce incorrect or incomplete outputs.

24. Review of financial outputs

Customers must use reasonable judgment when reviewing financial information before relying on it for material decisions.

This includes reviewing, where relevant, imported transactions; account mappings; journal entries; reconciliations; tax calculations; inventory adjustments; cost calculations; financial statements; AI-generated suggestions; and other automated outputs.

The Customer remains responsible for deciding whether an output should be accepted, modified, rejected, posted, filed, sent, or otherwise relied upon.

25. Taxes

Vencru may help Customers calculate, track, summarize, or report taxes based on Customer Data and settings.

Unless Vencru expressly offers a specific filing service, Vencru does not file taxes for the Customer merely because it generates a tax report or tax-related calculation.

The Customer remains responsible for determining registration requirements; applicable taxes; tax rates; exemptions; place-of-supply rules; tax treatment; filing requirements; filing deadlines; amounts payable; tax elections; and recordkeeping obligations.

Tax laws and administrative positions can change.

Vencru may update tax-related functionality, but Vencru does not warrant that every tax rule applicable to every Customer in every jurisdiction will be automatically identified or implemented.

26. Accounting standards

Vencru may help Customers maintain financial records and generate accounting reports.

Unless Vencru expressly states otherwise for a specific feature, Vencru does not represent that every configuration, report, calculation, or transaction automatically satisfies every requirement under IFRS; U.S. GAAP; local accounting standards; industry-specific accounting requirements; tax laws; or statutory filing requirements in every jurisdiction.

The Customer is responsible for selecting accounting policies and treatments appropriate for its business.

27. Financial and tax consequences

To the maximum extent permitted by law, Vencru is not responsible for penalties, interest, assessments, late fees, filing consequences, professional fees, or similar costs to the extent they arise from inaccurate Customer Data; incomplete Customer Data; Customer settings; Customer classifications; Customer accounting policies; Customer reconciliation decisions; Customer tax positions; Customer failure to review an output; changes in law; changes in accounting rules; changes in tax rules; inaccurate or delayed third-party data; or use of the Services outside their documented purpose.

Nothing in this section excludes liability that applicable law does not permit Vencru to exclude.

28. Software defects and historical records

Vencru may correct software defects or calculation logic.

A correction may affect how future transactions or reports are calculated.

Unless expressly agreed by Vencru or required by applicable law, correction of a software defect does not require Vencru to reconstruct historical Customer records; restate previously generated accounts; amend tax filings; recreate third-party reports; reverse business decisions; reimburse accountant or adviser fees; recreate records deleted or changed by the Customer; or compensate the Customer for actions previously taken based on an earlier output.

Customers should review the impact of material software corrections on records they have previously used or filed.

29. AI and automated features

Vencru may provide automated or AI-assisted functionality.

Such functionality may include transaction categorization; reconciliation suggestions; document extraction; data extraction; invoice drafting; report summaries; business insights; anomaly detection; account mapping; transaction matching; suggested journal entries; generated text; or other automated assistance.

Automated outputs may be inaccurate; incomplete; outdated; duplicated; inappropriate for a Customer's circumstances; or based on incomplete Customer Data.

The Customer remains responsible for reviewing automated outputs before accepting or acting on them.

In particular, Customers should review an automated output before posting a material accounting entry; completing a reconciliation; issuing a financial document; submitting a tax filing; paying money; refunding money; making a material financial decision; or relying on it for legal or regulatory purposes.

An AI-generated output does not become accounting, legal, tax, financial, or other professional advice merely because it is generated from Customer Data.

Vencru may use third-party technology providers to provide AI-assisted functionality.

Additional terms or notices may apply to particular AI features.

30. Imports and migrations

Vencru may allow data to be imported from spreadsheets; CSV files; accounting software; inventory systems; e-commerce systems; financial institutions; integrations; or other sources.

The Customer is responsible for reviewing imported data.

Differences between systems may affect account structures; product structures; tax treatment; transaction dates; currencies; accounting methods; inventory costs; opening balances; or other records.

Imported or migrated information may require adjustment before it is suitable for use.

Any migration assistance provided by Vencru does not remove the Customer's responsibility to review and approve migrated information.

31. Third-Party Services

The Services may connect to software, platforms, financial institutions, marketplaces, applications, APIs, or services provided by third parties ("Third-Party Services").

The Customer's use of a Third-Party Service may be governed by separate terms between the Customer and that third party.

By connecting a Third-Party Service, the Customer authorizes Vencru to exchange information with that provider as reasonably needed to provide the integration.

Vencru does not control Third-Party Services.

A Third-Party Service may change its API; change functionality; change pricing; restrict access; experience downtime; provide delayed information; provide inaccurate information; discontinue functionality; change its terms; or stop supporting an integration.

Vencru does not warrant the availability, accuracy, completeness, timeliness, or continued compatibility of a Third-Party Service or data obtained from it.

Vencru may modify, suspend, or discontinue an integration if the applicable Third-Party Service changes or becomes unavailable.

32. Payments

Vencru may allow Customers to connect supported third-party payment providers.

Unless expressly stated otherwise, the third-party payment provider — not Vencru — provides the underlying payment-processing service.

The payment provider may control matters including account approval; KYC; identity verification; transaction authorization; settlement; settlement timing; payment holds; reserves; refunds; disputes; chargebacks; processor fees; supported payment methods; supported jurisdictions; and supported currencies.

The Customer must comply with applicable payment-provider terms.

Unless Vencru expressly states otherwise for a particular Service, Vencru is not a bank, card network, deposit-taking institution, or payment processor merely because Vencru software connects to a payment provider.

Vencru is not responsible for a payment provider's decisions or acts outside Vencru's reasonable control.

33. Bank and financial-data connections

Where Vencru supports bank, credit-card, or financial-account connections, information may be obtained from third parties.

That information may be delayed; duplicated; incomplete; incorrectly described; unavailable; or different from information shown by the financial institution.

A financial-account balance shown in Vencru may differ from another balance because of pending transactions; timing; missing transactions; imported transactions; manual records; accounting adjustments; or third-party data issues.

The Customer remains responsible for reviewing transactions and approving reconciliation decisions.

34. Customer communications

Vencru may allow Customers to create or send business communications, including invoices; receipts; quotes; estimates; reminders; statements; purchase orders; emails; messages; and other documents.

The Customer is responsible for the content, recipients, timing, and lawful basis for communications it sends using the Services.

Customers must comply with applicable anti-spam laws; privacy laws; direct-marketing laws; and communications rules.

Vencru may apply reasonable sending limits and abuse-prevention controls.

Messages sent through the Services are delivered from Vencru infrastructure and under Vencru sending domains. Vencru may refuse, filter, modify, rate-limit, or withhold a communication, and may restrict a Customer's sending, where Vencru reasonably believes it contains unlawful, deceptive, or abusive content, promotes an unrelated offer, contains a link or attachment that presents a security or fraud risk, or threatens the deliverability or reputation of Vencru's sending infrastructure.

35. Acceptable use

You may use the Services only for lawful purposes.

You must not:

  1. violate applicable law using the Services;

  2. commit or facilitate fraud;

  3. use stolen payment information;

  4. impersonate another person or business;

  5. distribute malicious software;

  6. attempt unauthorized access;

  7. interfere with the operation of the Services;

  8. bypass security measures;

  9. bypass plan or usage limits;

  10. conduct unauthorized penetration or security testing;

  11. scrape the Services except as expressly permitted;

  12. reverse engineer the Services except where applicable law expressly permits it;

  13. resell access without Vencru's authorization;

  14. upload content that unlawfully infringes another person's rights;

  15. facilitate unlawful financial activity;

  16. share one user's login to avoid user limits;

  17. use unauthorized bots or automation;

  18. carry out card testing or similar payment abuse;

  19. use the Services in a way that places unreasonable load on Vencru systems;

  20. use the Services to attack another system;

  21. use a document, message, or sending feature to distribute spam, phishing, malware, unsolicited promotions, or links unrelated to the Customer's own business transaction; or

  22. otherwise use the Services in a way that creates material legal, security, financial, or operational risk.

Vencru may impose technical safeguards or usage restrictions to enforce this section.

36. Intellectual property

Vencru and its licensors retain all rights in the Services other than Customer Data.

This includes rights in software; source code; object code; databases; product design; interfaces; workflows; technology; trademarks; logos; documentation; website content; and other proprietary materials.

Subject to these Terms and payment of applicable fees, Vencru grants the Customer a limited, non-exclusive, non-transferable right to use the Services for the Customer's internal business purposes during the applicable subscription period.

No ownership rights in Vencru technology are transferred to the Customer.

37. Customer documents and outputs

Customers may use, download, print, retain, and send supported documents and reports created using their Customer Data.

This may include invoices; receipts; quotes; estimates; purchase orders; credit notes; statements; financial reports; and accounting exports.

The Customer is responsible for determining whether a document satisfies applicable legal, tax, invoicing, accounting, or recordkeeping requirements.

Vencru retains its rights in any underlying software, layout technology, templates, designs, code, and general functionality used to create an output.

38. Content notices and removal

Vencru may receive a notice alleging that content stored, displayed, or sent through the Services infringes a third party's rights or is otherwise unlawful.

Where Vencru reasonably believes content is unlawful, infringing, or in breach of these Terms, Vencru may remove it, disable access to it, prevent it from being sent, or restrict the account that supplied it.

Where reasonably practicable and legally permitted, Vencru will notify the Customer and allow the Customer to respond or supply a counter-notice.

A notice of alleged infringement may be sent to legal@vencru.com and should identify the content, the right claimed to be infringed, and the sender's contact details.

Content removal under this section does not relieve the Customer of its obligation to retain records it is legally required to keep.

39. Free tools, templates, and educational material

Vencru may provide calculators; generators; templates; articles; guides; educational content; and similar free resources.

Free resources are provided for general informational or business use.

They may have fewer checks, controls, or features than paid Services.

The Customer or user remains responsible for reviewing an output before relying on it.

Free tools and educational materials do not constitute accounting, tax, legal, financial, or other professional advice.

40. Feedback

If you provide suggestions, ideas, or feedback about the Services, Vencru may use that feedback without restriction or compensation.

Feedback does not include Customer Data or confidential business records submitted through ordinary use of the Services.

41. Beta and experimental features

Vencru may make functionality available as beta; preview; experimental; labs; pilot; test; or early access functionality ("Beta Features").

Beta Features are optional and may contain defects; be inaccurate; be incomplete; change materially; have limited support; become unavailable; or be discontinued.

Unless Vencru expressly states otherwise, Beta Features are provided for testing and evaluation.

Service commitments, warranties, support obligations, and SLAs applicable to generally available paid features do not apply to Beta Features.

Customers should not rely on a Beta Feature as their sole method for performing a critical accounting, payment, tax, reporting, or regulatory function.

42. Service availability

Vencru aims to provide reliable Services but does not guarantee uninterrupted availability unless a separate written Service Level Agreement expressly provides otherwise.

Services may be unavailable because of maintenance; updates; infrastructure issues; software defects; telecommunications failures; cyber incidents; third-party outages; emergency maintenance; security measures; government action; or events outside Vencru's reasonable control.

Support channels, availability, and response targets may vary by plan.

No support response-time commitment applies unless expressly stated in an applicable paid support plan, order form, or Service Level Agreement.

43. Standard service warranty

For a paid Service, Vencru warrants that the Service will substantially conform to Vencru's then-current published documentation when used in accordance with that documentation.

If the Customer reports a reproducible material nonconformity, Vencru will use commercially reasonable efforts to investigate and correct it.

If Vencru determines that it cannot correct a material nonconformity that substantially prevents the Customer from using the affected paid Service for its primary documented purpose, Vencru may, at its option:

  1. provide substantially equivalent functionality; or

  2. terminate the affected paid Service and refund unused prepaid fees attributable to the terminated portion.

This warranty does not apply where the issue results from inaccurate Customer Data; unsupported use; Customer configuration; unauthorized modification; Third-Party Services; systems outside Vencru's reasonable control; failure to follow documentation; Customer devices; Customer networks; internet connectivity; Beta Features; or suspension permitted under these Terms.

Subject to rights that cannot legally be excluded, this section states the Customer's exclusive contractual remedy for a failure of the Services to conform to Vencru's documentation.

44. Disclaimer of other warranties

Except for the express warranty in Section 43 and rights that cannot legally be excluded, the Services are provided on an "as available" basis.

To the maximum extent permitted by law, Vencru does not make implied or additional warranties regarding uninterrupted availability; error-free operation; fitness for a particular Customer's purpose; compatibility with every third-party system; continued availability of every integration; accuracy of Customer Data; accuracy of third-party data; legal or tax compliance in every jurisdiction; or correctness of every automated or AI-generated suggestion.

Nothing in these Terms excludes a guarantee, warranty, condition, or statutory right that applicable law does not allow Vencru to exclude.

45. Suspension

Vencru may suspend or restrict access to all or part of the Services where Vencru reasonably believes that doing so is necessary to prevent fraud; prevent unlawful activity; protect Customer Data; protect the security or integrity of the Services; address unauthorized access; comply with law; comply with a competent authority; respond to sanctions or trade restrictions; address non-payment; prevent material harm; investigate suspected abuse; enforce material usage limits; or investigate a suspected breach of these Terms.

Vencru may act immediately where delay could create material legal, security, financial, regulatory, or operational risk.

Where reasonably practicable, Vencru will notify the Customer of a suspension.

Fees continue to accrue during a suspension caused by Customer breach; non-payment; fraud; misuse; or unlawful activity.

Subject to rights that cannot legally be excluded, Vencru is not liable for losses resulting from a suspension reasonably imposed under this section.

46. Termination by Customer

The Customer may stop using the Services at any time.

Termination of a paid subscription is subject to the cancellation provisions in these Terms.

Amounts already due remain payable.

Cancellation or termination does not create a refund right except as expressly provided in these Terms or required by applicable law.

47. Termination by Vencru

Vencru may terminate or permanently restrict an account if the Customer materially breaches these Terms; the Customer repeatedly breaches these Terms; fees remain unpaid; the Customer commits or facilitates fraud; the Customer engages in unlawful activity; the account creates a material security risk; information supplied to Vencru is materially false; continued provision would violate law; sanctions or trade restrictions apply; continued provision creates material risk to Vencru or others; or Vencru is required to terminate by law or competent authority.

Where a breach can reasonably be cured and there is no urgent risk, Vencru may provide an opportunity to correct the breach before termination.

Vencru may terminate immediately for serious fraud; cyber abuse; unauthorized access; security threats; illegal activity; or intentional misuse.

Vencru may discontinue a paid Service for legitimate business reasons by providing reasonable advance notice where practicable.

Where Vencru terminates a prepaid subscription solely for convenience, Section 12 applies.

48. Effect of termination

When an account terminates, the Customer's right to use the terminated Services ends; unpaid fees already due remain payable; account access may end; Customer Data is handled under Section 20; and provisions intended to survive termination continue.

Sections relating to fees owed; ownership; Customer Data; limitations of liability; disputes; intellectual property; indemnification; and provisions that by their nature should survive continue after termination.

49. Limitation of liability

49.1 Excluded damages

To the maximum extent permitted by law, neither party is liable to the other for indirect damages; incidental damages; special damages; punitive damages; exemplary damages; or consequential damages.

To the maximum extent permitted by law, neither party is liable for indirect or consequential lost profits; lost revenue; lost business opportunities; lost expected savings; loss of goodwill; or reputational harm.

49.2 Certain Customer-controlled losses

To the maximum extent permitted by law, Vencru is not liable for tax penalties; tax interest; regulatory penalties arising from Customer conduct; costs of amended tax filings; accountant or adviser fees; costs of reconstructing Customer accounts; or losses arising from Customer business decisions, to the extent those losses result from inaccurate or incomplete Customer Data; Customer configuration; Customer-selected accounting treatments; Customer tax positions; Customer classifications; Customer reconciliations; failure to review outputs; changes in applicable law; or third-party information outside Vencru's reasonable control.

49.3 Liability cap

Except for liabilities excluded from the cap under Section 49.4, Vencru's total aggregate liability to the Customer for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by the Customer to Vencru during the six (6) month period before the cause of action arose, except where applicable law requires otherwise.

49.4 Matters outside the general cap

The general liability cap does not limit Customer obligations relating to valid fees owed to Vencru; fraud or fraudulent misrepresentation; wilful misconduct; unauthorized use or misappropriation of Vencru intellectual property; or Customer indemnification obligations under Section 50.

It also does not limit either party's liability for fraud; fraudulent misrepresentation; or another liability that applicable law does not permit to be limited.

Any other liability carve-out applies only where expressly stated in an applicable negotiated agreement.

49.5 Application

The exclusions and limitations in this section apply regardless of the form of action; whether the claim arises in contract, tort, negligence, statute, or otherwise; and even if a party has been advised that a loss may occur, to the maximum extent permitted by applicable law.

50. Customer indemnity

The Customer will defend, indemnify, and hold Vencru harmless against a third-party claim to the extent that the claim results from Customer Data that unlawfully infringes a third party's rights; fraud by the Customer; unlawful use of the Services; Customer communications sent through Vencru in violation of applicable law; unauthorized use of Vencru intellectual property; or material violation of the Acceptable Use provisions in these Terms.

The Customer is not required to indemnify Vencru to the extent a claim was caused by Vencru's own fraud, wilful misconduct, or another matter for which applicable law does not permit indemnification.

Vencru will provide reasonable notice of an indemnified claim; provide reasonable cooperation; and allow the Customer to control the defence where appropriate.

The Customer may not settle a claim in a way that admits wrongdoing by Vencru; imposes a non-monetary obligation on Vencru; or materially affects Vencru's rights, without Vencru's written consent.

51. Intellectual property claims against the Services

If a third-party intellectual property claim materially affects Vencru's ability to provide a paid Service, Vencru may, at its option, obtain rights to continue providing the affected Service; modify the affected Service; replace the affected functionality; or terminate the affected Service and refund unused prepaid fees attributable to the terminated period.

Unless Vencru expressly agrees otherwise in a written enterprise agreement, order form, or other negotiated agreement, this section does not require Vencru to defend or indemnify a Customer against a third-party intellectual property claim.

52. Legal compliance

Each party is responsible for complying with laws applicable to its own activities.

The Customer must not use the Services in a way that causes Vencru to violate applicable sanctions; trade restrictions; export controls; anti-money-laundering requirements; or other legal restrictions.

Vencru may restrict or terminate access where reasonably required to comply with law.

53. Changes to these Terms

Vencru may update these Terms from time to time.

Changes may be made to reflect new Services; changes in law; regulatory requirements; security requirements; changes in business practices; technical changes; third-party requirements; or other legitimate business needs.

Minor, clarifying, administrative, or non-material changes may take effect when posted or on the stated effective date.

A material change that adversely affects an existing paid Customer's contractual rights will normally take effect no earlier than the Customer's next renewal.

Vencru may make a material change effective earlier where reasonably necessary to comply with law; address security; prevent fraud; prevent abuse; respond to a regulator; respond to a Third-Party Service requirement; or protect the Services or Customers.

Where required by applicable law, Vencru will provide additional notice or obtain consent.

Continued use after the applicable effective date constitutes acceptance where permitted by law.

54. Electronic communications

Vencru may send transactional, service, billing, security, and legal communications electronically.

These may include account notices; security notices; subscription notices; renewal notices; invoices; service notices; changes to these Terms; and other communications relating to the Services.

Vencru may send notices through email; in-app messages; account notifications; or another electronic method associated with the account.

Customers are responsible for maintaining an accurate account email address.

Marketing communications are subject to applicable marketing and privacy requirements.

55. Governing law and dispute resolution

55.1 Governing law

Except where mandatory applicable law provides otherwise, these Terms, and any dispute arising out of or in connection with them or the Services, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to choice-of-law or conflict-of-law principles that would require the application of the law of another jurisdiction.

These Terms, and any action taken by the Customer in connection with them or with any Service, software, tool, application, or functionality, will be deemed to have been performed in Ontario, Canada.

Subject to Section 55.3 and to mandatory rights that cannot legally be waived, the parties irrevocably submit and attorn to the exclusive jurisdiction and venue of the courts of the Province of Ontario, Canada.

55.2 Informal resolution first

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute"), the parties agree to attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Informal negotiations commence upon written notice from one party to the other party.

55.3 Binding arbitration

Any Dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, that is not resolved under Section 55.2 shall be referred to and finally resolved by arbitration under the Rules of the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise, 146), which, as a result of referring to them, are considered part of this clause.

The number of arbitrators shall be one (1). The seat, or legal place, of arbitration shall be Toronto, Canada. The language to be used in the arbitral proceedings shall be English. The substantive law of the contract shall be the law stated in Section 55.1.

55.4 Individual basis only

The parties agree that any arbitration will be limited to the Dispute between the parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to use class-action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other person.

55.5 Exceptions and mandatory rights

Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court to protect security; Customer Data; confidential information; intellectual property; or other rights that could suffer immediate material harm.

Nothing in this section prevents a Customer from bringing a claim before a local court, tribunal, or regulator, or from using another remedy, where mandatory applicable law gives the Customer that right, and Sections 56 to 63 continue to apply.

56. Mandatory local rights

Vencru provides Services in multiple countries.

Applicable laws may provide Customers with rights that cannot legally be waived, excluded, or limited by contract.

Nothing in these Terms excludes or limits such a right.

If part of these Terms conflicts with mandatory applicable law, that part applies only to the maximum extent permitted by law. The remaining Terms continue to apply.

57. Australia

If the Australian Consumer Law applies, nothing in these Terms excludes, restricts, or modifies any consumer guarantee, statutory right, or remedy that cannot lawfully be excluded, restricted, or modified.

The parties intend these Terms to operate consistently with Australian laws governing standard-form contracts, including where protections apply to qualifying small businesses.

Any exclusion, limitation, suspension right, termination right, variation right, or indemnity in these Terms applies only to the extent permitted by Australian law.

58. Canada

Nothing in these Terms excludes mandatory rights under applicable Canadian federal, provincial, or territorial law.

Where applicable law requires specific subscription disclosures, notices, cancellation rights, or refund rights, those requirements apply.

Quebec. Where Quebec law requires a French version of a contract or related document to be provided before another-language version is accepted, Vencru will provide the required French version.

Where applicable Quebec law requires an online cancellation mechanism for a covered subscription, Vencru will provide the required method.

59. United Kingdom

If mandatory United Kingdom consumer law applies to a Customer, nothing in these Terms excludes or limits rights that cannot lawfully be excluded.

Nothing in these Terms excludes liability for fraud; fraudulent misrepresentation; death or personal injury caused by negligence; or another liability that UK law does not permit to be excluded.

Where mandatory subscription, cancellation, digital-service, or consumer rules apply, Vencru will comply with those requirements.

60. Nigeria

Where the Federal Competition and Consumer Protection Act or another mandatory Nigerian law applies, nothing in these Terms excludes rights, guarantees, or remedies that cannot legally be excluded.

Vencru will not rely on these Terms to exclude liability where Nigerian law prohibits such an exclusion.

Personal-data processing relating to Nigeria is governed by applicable Nigerian data-protection law, Vencru's Privacy Policy, and an applicable DPA.

61. United States

The Services are intended primarily for business use.

Where applicable U.S. federal or state law provides a Customer with mandatory rights, those rights continue to apply.

Where an applicable automatic-renewal law requires it, Vencru will provide required disclosures; consent mechanisms; renewal notices; price-change notices; cancellation instructions; and cancellation methods.

Nothing in these Terms excludes liability that applicable U.S. law does not permit Vencru to exclude.

62. European Economic Area and Switzerland

Where a Customer is established in the European Economic Area or Switzerland, nothing in these Terms excludes or limits a right, guarantee, or remedy that applicable law does not permit to be excluded.

This includes, where applicable, conformity rights for digital content and digital services under the laws implementing Directive (EU) 2019/770 and equivalent Swiss requirements.

Where a Customer is a consumer within the meaning of applicable law and a statutory right of withdrawal applies to a purchase, that right applies as provided by law, and the Customer may exercise it by notifying Vencru at legal@vencru.com within the statutory period.

A Customer that purchases the Services for purposes relating to its trade, business, craft, or profession is not a consumer, and consumer-specific rights, including a right of withdrawal, do not generally apply to that purchase.

Personal-data processing is governed by applicable data-protection law, Vencru's Privacy Policy, and an applicable DPA, including any transfer mechanism required for transfers outside the European Economic Area, the United Kingdom, or Switzerland.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for another liability that applicable law does not permit to be excluded.

63. Additional country requirements

Vencru may provide country-specific terms, disclosures, notices, or addenda where required by local law or needed for a particular Service.

Those additional terms form part of the agreement for Customers to whom they apply.

If a mandatory local addendum conflicts with these Terms, the local addendum controls for that conflict.

64. Assignment

The Customer may not assign or transfer these Terms without Vencru's prior written consent.

Vencru will not unreasonably withhold consent to an assignment arising from a bona fide merger, corporate reorganization, or sale of substantially all of the Customer's relevant business, provided the proposed assignee assumes the Customer's obligations; is legally eligible to use the Services; is not subject to applicable sanctions or restrictions; and does not create material legal, security, or operational risk for Vencru.

Vencru may assign these Terms to an affiliate; a successor; an entity involved in a merger; a purchaser of substantially all relevant assets; or another entity as part of a bona fide corporate restructuring.

Where applicable law requires notice or consent, Vencru will comply.

65. Force majeure

Neither party is liable for delay or failure to perform an obligation, other than an obligation to pay money already due, to the extent the failure is caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters; war; civil unrest; government action; widespread telecommunications failures; widespread cloud-provider failures; labor disruptions; epidemics; pandemics; significant cyberattacks not caused by failure to maintain reasonable safeguards; or similar events beyond reasonable control.

The affected party will use commercially reasonable efforts to reduce the impact and resume performance.

Ordinary preventable technical failures do not become force majeure merely because they involve servers, infrastructure, or service providers.

66. No professional or fiduciary relationship

Except where expressly agreed in writing, nothing in the Services or these Terms creates a partnership; joint venture; employment relationship; fiduciary relationship; agency relationship; or professional advisory relationship between Vencru and the Customer.

Neither party may bind the other unless expressly authorized.

67. No third-party beneficiaries

Except where these Terms expressly state otherwise, no person who is not a party to these Terms obtains rights under them.

Apple Inc. and its subsidiaries are third-party beneficiaries of Schedule A as stated in that Schedule.

68. Waiver

Failure to enforce a provision immediately does not waive the right to enforce it later.

A waiver applies only to the specific matter for which it was given.

69. Severability

If a court or tribunal determines that part of these Terms is unlawful, invalid, or unenforceable, that part will be limited or removed only to the minimum extent required.

The remaining provisions continue in effect.

70. Order for negotiated agreements

A Customer may enter into a separate enterprise agreement; order form; Service Level Agreement; security addendum; professional-services agreement; statement of work; or other negotiated agreement with Vencru.

If an expressly executed agreement conflicts with these Terms, that agreement controls to the extent of the conflict and for the Services it covers.

A Vencru DPA controls over these Terms regarding matters specifically governed by that DPA.

Marketplace terms may control marketplace billing where required.

71. Entire agreement

These Terms, together with any applicable executed order form; negotiated agreement; DPA; country-specific addendum; Schedule to these Terms; and other terms expressly incorporated into the agreement, form the agreement between Vencru and the Customer concerning the Services they cover.

These Terms replace all previous Vencru terms of service and subscription terms of service for the Services they cover, for use of the Services on and after the Effective Date.

Vencru's Privacy Policy explains Vencru's privacy practices but does not independently create contractual rights beyond these Terms; an applicable DPA; another written agreement; or rights provided by applicable law.

72. Headings

Headings are included for convenience and do not change the interpretation of these Terms.

73. Legal notices

Legal notices to Vencru should be sent to:

Vencru Inc. 246 Stewart Green SW, Unit #6043 Calgary, Alberta T3H 3C8 Canada

Email: legal@vencru.com

Vencru may send a legal notice to the Customer using the email address associated with the account or another legally permitted method.

74. Contact

Questions about these Terms may be sent to Vencru Inc. at hello@vencru.com.

Schedule A — Apple App Store and Google Play

This Schedule applies where the Customer downloads a Vencru application from, or purchases a subscription through, the Apple App Store or Google Play. It applies in addition to these Terms and controls over them for the matters it covers.

A1. Billing through the store

A subscription purchased inside a Vencru mobile application is sold and billed by Apple or by Google, not by Vencru.

The store determines the billing date, the payment method charged, the renewal charge, and refund eligibility.

The subscription renews automatically at the price and for the period shown at purchase until it is cancelled.

Cancellation is made in the store's own subscription settings — the Apple ID subscription settings on iOS, or the Google Play subscriptions screen on Android — and not by deleting the application or deleting a Vencru account.

A refund for a store-billed subscription is granted by Apple or Google under that store's refund policy. Vencru cannot grant, reverse, or compel such a refund.

Vencru remains responsible for providing the Services, for support, and for the matters these Terms place on Vencru.

A2. Minimum terms required by Apple

Where the Customer obtains a Vencru application from the Apple App Store, the following apply:

  1. Acknowledgement. These Terms are between the Customer and Vencru only, and not with Apple Inc. ("Apple"). Vencru, not Apple, is solely responsible for the Vencru application and its content.

  2. Scope of licence. The licence granted for the Vencru application is a limited, non-transferable licence to use the application on any Apple-branded product that the Customer owns or controls, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the application may be accessed by other accounts associated with the purchaser through Family Sharing or volume purchasing where Apple makes those available.

  3. Maintenance and support. Vencru is solely responsible for providing maintenance and support for the Vencru application. Apple has no obligation to furnish any maintenance or support services for it.

  4. Warranty. Vencru is solely responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed. If the application fails to conform to an applicable warranty, the Customer may notify Apple, and Apple will refund the purchase price of the application, if any. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are Vencru's responsibility.

  5. Product claims. Vencru, not Apple, is responsible for addressing any claim of the Customer or a third party relating to the Vencru application or the Customer's possession or use of it, including product liability claims, a claim that the application fails to conform to an applicable legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar legislation. These Terms do not limit Vencru's liability beyond what applicable law permits.

  6. Intellectual property claims. If a third party claims that the Vencru application or the Customer's possession or use of it infringes that third party's intellectual property rights, Vencru, not Apple, is solely responsible for the investigation, defence, settlement, and discharge of that claim.

  7. Legal compliance. The Customer represents and warrants that it is not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that it is not listed on any U.S. Government list of prohibited or restricted parties.

  8. Developer name and address. Vencru Inc., 246 Stewart Green SW, Unit #6043, Calgary, Alberta T3H 3C8, Canada. Questions, complaints, and claims may be directed to hello@vencru.com.

  9. Third-party terms. The Customer must comply with applicable third-party terms of agreement when using the Vencru application.

  10. Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms as they apply to the Customer's licence of the Vencru application, and, upon the Customer's acceptance of these Terms, Apple has the right, and is deemed to have accepted the right, to enforce these Terms against the Customer as a third-party beneficiary of them.

A3. Google Play

Where the Customer obtains a Vencru application from Google Play, these Terms are between the Customer and Vencru only, and not with Google. Vencru, not Google, is solely responsible for the Vencru application, its content, and support for it. The Customer's use of Google Play is governed by the Google Play Terms of Service, and billing, renewal, and refunds for a Play-billed subscription are governed by Google's own terms and refund policy.

Schedule B — Superseded terms

On and after the Effective Date, these Terms replace, for the Services they cover:

  • the Vencru Terms of Service previously published at vencru.com/terms/; and

  • the Vencru Subscription Terms of Service previously published at vencru.com/subscription-terms-of-service/ (last updated April 4, 2023).

Where a Customer purchased a subscription before the Effective Date, a material change in these Terms that adversely affects that Customer's contractual rights takes effect in accordance with Section 53.
